Last Updated: April 5, 2026 Welcome to Serve & Sip Pickleball Club (“Serve & Sip”) and the www.serveandsippickleballclub.com/www.serveandsip.com website (the “Website”) and our mobile application (the “App”). These Terms and Conditions of Use (“Terms of Use”) govern your access to and use of the Website, the App, and our related services (collectively, the “Services”). Serve & Sip owns and operates a premium indoor pickleball club and restaurant, The Drop Kitchen & Bar, located at 11250 N. Central Expressway, Suite 105, Dallas, TX 75243. In these Terms of Use, “you” and “your” refer to each customer, member, user, guest, or visitor, and “we,” “us,” and “our” refer to Serve & Sip Pickleball Club OpCo LLC, its subsidiaries, successors in interest, and assigns. Please read these Terms of Use carefully before using the Services. By using the Services, you agree that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree, please do not use the Services. Our Privacy Policy is incorporated into these Terms of Use by reference.

Consent to Terms and Conditions

By using the Website, App, and/or Services, and/or by becoming a Serve & Sip member or purchasing/booking products and services, you agree that you have read and understood these Terms of Use, that you will comply with the same, and that you are legally bound by them.

Membership Terms

Serve & Sip offers membership programs that provide access to certain facilities, services, and benefits. By enrolling as a member, you agree to the following:

• Membership is subject to approval by Serve & Sip at its sole discretion.
• Monthly membership dues are billed automatically through PodPlay on a recurring basis.
• You are responsible for maintaining accurate and current billing information.
• Membership cancellation must be submitted in accordance with the cancellation policy communicated at the time of enrollment. Cancellation does not entitle you to a refund of any previously paid dues.
• Serve & Sip reserves the right to modify membership pricing, benefits, and terms with reasonable notice to members.
• Members are responsible for the conduct of their guests and must comply with all guest policies.
• Serve & Sip reserves the right to suspend or terminate any membership for violation of these Terms of Use, facility rules, or code of conduct.

Court Booking and Cancellation Policy

Court reservations are managed through PodPlay. By booking a court, you agree to the following:

• All court bookings are subject to availability and must be made through the PodPlay platform.
• Cancellations must be made in accordance with the cancellation policy displayed at the time of booking.
• Late cancellations or no-shows may result in forfeiture of booking fees and/or restrictions on future bookings.
• Serve & Sip reserves the right to cancel or reschedule court reservations due to maintenance, events, or other operational needs.

Dining and Reservations

The Drop Kitchen & Bar is Serve & Sip’s full-service restaurant and bar, open to both members and the public. Dining reservations may be made through Toast Tables. By making a reservation or dining at The Drop Kitchen & Bar, you agree to the following:

• Reservations are subject to availability.
• Members may receive priority booking windows and preferred pricing as part of their membership benefits.
• Serve & Sip reserves the right to hold, modify, or cancel reservations in accordance with operational needs.
• Guests must comply with all applicable laws, including those related to the service and consumption of alcoholic beverages. Serve & Sip reserves the right to refuse service in accordance with Texas Alcoholic Beverage Commission (TABC) regulations.

Messaging Terms and Conditions

When you opt in to messaging, we will send you a confirmation message. By opting in, you agree to receive recurring automated marketing and informational text messages from Serve & Sip. Message frequency varies. Message and data rates may apply. Your consent to receive marketing messages is not a condition of purchase. You can cancel at any time by texting “STOP.” After you send “STOP,” we will confirm your unsubscription and no more messages will be sent. Text “HELP” at any time for support instructions. For additional support, email us at info@serveandsip.com. Carriers are not liable for delayed or undelivered messages. You agree that before changing or transferring your mobile number, you will either reply “STOP” from the original number or notify us at info@serveandsip.com. We reserve the right to change or terminate our messaging program at any time.

Booking, Membership, and Payment Transactions

All booking, membership, and payment transactions are processed through third-party platforms, including PodPlay and Toast. Please carefully review the terms and conditions of use on each platform’s website. Serve & Sip is not liable to users for any claims, losses, causes of action, or damages arising from or related to conduct governed by the terms of these third-party platforms.

Use of the Site and App

Access to, distribution, and/or use of the Services is subject to all applicable laws and regulations. Each time you use the Services, you confirm your acceptance of these Terms of Use and the Privacy Policy. By using the Services, you affirm, represent, and warrant that: (a) you are 18 years of age or older and a resident of the United States; (b) all information you submit shall be truthful and accurate and you will maintain the accuracy of such information; (c) you will abide by these Terms of Use; and (d) your use of the Services shall not violate any applicable law, rule, or regulation.

Changes to the Terms of Use

From time to time, these Terms of Use may change. Serve & Sip reserves the right to modify these Terms without prior individual notice. Changes will be posted on the Website and will become effective once posted. Your continued use of the Services constitutes acceptance of the then-current Terms of Use.

Ownership of the Website and App

Serve & Sip owns, licenses, and/or has the right to use the Website, App, and all intellectual property rights therein (collectively, “Materials”). You acknowledge that you have no ownership rights in the Materials. Copying, reproducing, or any other unauthorized use of the Materials without express permission is prohibited and may result in legal action.

Assumption of Risk and Waiver

Pickleball and other physical activities involve inherent risks of injury. By using Serve & Sip’s facilities, you voluntarily assume all risks of injury or damage that may occur during your participation in any activities at the facility, including but not limited to court play and wellness programming. You agree to release, discharge, and hold harmless Serve & Sip Pickleball Club OpCo LLC, its officers, directors, employees, agents, and affiliates from any and all claims, demands, losses, damages, and liabilities arising from or related to your use of the facilities and participation in activities, to the fullest extent permitted by Texas law. You acknowledge that you are in good physical condition and have no medical conditions that would prevent your safe participation in activities at the facility. If you have any medical concerns, you should consult with a physician prior to participation.

Guest Policy

Members may bring guests to Serve & Sip in accordance with the guest policy in effect at the time of the visit. Members are responsible for ensuring their guests comply with all facility rules, these Terms of Use, and the code of conduct. Guest fees may apply and are subject to change. Serve & Sip reserves the right to limit the number of guests and to modify the guest policy at any time.

Facility Rules and Code of Conduct

All members, guests, and visitors are expected to conduct themselves in a respectful and courteous manner while on Serve & Sip premises. Serve & Sip reserves the right to establish and enforce rules of conduct for the facility, including but not limited to dress code, noise levels, equipment usage, and court etiquette. Violation of facility rules may result in removal from the premises and/or suspension or termination of membership.

Private Events

Serve & Sip offers private event hosting, including corporate team-building, private parties, and tournament hosting. All private events are subject to separate event agreements and terms, which will be provided at the time of booking. Event deposits and cancellation policies will be outlined in the applicable event agreement.

User Conduct

In connection with your use of the Services, you agree that you will not:

• Violate any local, state, or federal law or regulation
• Use automated software, scripts, robots, or other means to access or scrape the Website or App
• Use the Services for any commercial purposes not expressly permitted by these Terms of Use
• Dilute, tarnish, or otherwise harm the Serve & Sip brand, including through unauthorized use of our trademarks or branding
• Interfere with or damage the Website or App through viruses, denial-of-service attacks, or similar methods
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

Limitation of Liability and Warranty Disclaimer

THE WEBSITE, APP, ALL CONTENT AND MATERIALS CONTAINED THEREIN, ALL SERVICES PROVIDED, AND ALL LINKS OR OTHER ITEMS RELATED THERETO ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. UNLESS PROHIBITED BY LAW, NEITHER SERVE & SIP (INCLUDING ITS OFFICERS, DIRECTORS, AGENTS, AND EMPLOYEES), NOR ANY PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES, SHALL BE LIABLE FOR ANY COMPENSATORY, PUNITIVE, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL, DIRECT, INDIRECT, SPECIAL, OR ANY OTHER DAMAGES THAT RESULT FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. Serve & Sip is not responsible for any damages or loss related to your reliance on any outdated version of these Terms of Use.

Indemnity

Unless prohibited by law, you agree to indemnify Serve & Sip Pickleball Club OpCo LLC, and each of its parent, subsidiary, and affiliated entities, officers, directors, members, employees, representatives, agents, successors, and assigns from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including attorneys’ fees) arising from or in connection with: (i) your breach of any representations or warranties in these Terms of Use; (ii) your use of the Services or facilities; and/or (iii) any violation of these Terms of Use.

Electronic Communications

When you communicate with Serve & Sip electronically, you consent to receive electronic communications from us. You agree that all communications provided electronically satisfy any legal requirement that such communications be in writing. Please see our Privacy Policy concerning your consent to receiving information and your ability to withdraw such consent.

Acquisition of Business

In the event that Serve & Sip is involved in a merger, acquisition, consolidation, restructuring, liquidation, sale, or similar transaction, you acknowledge and agree that the Website, App, all collected data (including Personal Information), and any rights and obligations under these Terms of Use and the Privacy Policy may be included in the assets of such transaction.

Links and Embedded Content

The Website and App may contain links to or embedded versions of other websites and applications not controlled by Serve & Sip. Access to and use of such other websites is at your own risk. Serve & Sip is not responsible for the content, privacy policies, or practices of any linked websites.

Resolving Disputes

If you have a dispute with Serve & Sip relating to the Services, please contact us at info@serveandsip.com and we will attempt to resolve the dispute. If we cannot resolve the dispute, these Terms of Use will govern any legal proceedings.

Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms of Use or the Services shall be resolved in the state or federal courts located in Dallas County, Texas, and you consent to the exclusive jurisdiction and venue of such courts. If any provision of these Terms of Use is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

Copyright Infringement — Notice and Take-Down

Serve & Sip values and respects intellectual property. If you believe that your copyrighted material has been infringed by material on the Website, you may notify us at info@serveandsip.com. Your notice must include:

• A physical or electronic signature of the copyright owner or authorized representative
• Identification of the copyrighted work allegedly being infringed
• Identification of the infringing materials and sufficient information for us to locate them
• Your contact information (name, address, email)
• A statement of good faith belief that the use was not authorized
• A statement, under penalty of perjury, that the information in the notification is accurate
